1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the ShowUpLocal platform, including the website at showuplocal.com.au, subscription plans, audit reports, monitoring services, and any related features (collectively, the "Services") operated by Oroborous Pty Ltd ABN 59 657 770 726 ("ShowUpLocal", "we", "us", "our").

By creating an account, subscribing to a plan, or accessing the website, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Who Can Use ShowUpLocal

You may use the Services if you are:

• At least 18 years of age; and
• A business owner, operator, or authorised representative using the Services for legitimate business purposes.

ShowUpLocal is designed for local business owners who want to audit, monitor, and improve their Google Business Profile performance. The Services are not intended for personal, domestic, or household use.

3. Subscription Plans

3.1 Available Plans

Plan details, pricing, and inclusions are subject to change. We will provide reasonable notice of material changes (see Section 10).

3.2 Billing and Payment

• Subscriptions are billed monthly in advance via Stripe.
• All prices are in Australian Dollars (AUD) and include GST.
• A tax invoice will be issued each billing period. Oroborous Pty Ltd ABN 59 657 770 726 is registered for GST.
• Your subscription renews automatically each month until cancelled.
• Payment details are stored and managed securely by Stripe. We do not store your card data.

3.3 Cancellation

• You may cancel your subscription at any time via your account settings or by emailing hello@showuplocal.com.au.
• Cancellation takes effect at the end of the current billing period. You retain access to the Services until that date.
• We do not offer pro-rata refunds for partial billing periods on cancellation.

3.4 Refunds and Consumer Guarantees

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a remedy for a major failure and compensation for any other reasonably foreseeable loss or damage.

Outside of your statutory rights:

• We do not offer change-of-mind refunds on subscription fees already charged.
• If you believe the Service was not delivered as described or contained a material error, contact us at hello@showuplocal.com.au within 14 days of the billing date and we will investigate and provide an appropriate remedy (credit, plan adjustment, or refund) where warranted.
• Refunds, where approved, are processed to the original payment method within 5–10 business days.

4. The Services — What We Do and Don't Do

4.1 What ShowUpLocal Provides

ShowUpLocal is a digital subscription service. We:

• Audit your Google Business Profile against best-practice criteria;
• Monitor your GBP listing for changes, issues, and performance signals;
• Deliver reports and alerts to help you understand and improve your local search visibility; and
• Provide recommendations based on publicly available GBP data and local SEO best practices.

4.2 What ShowUpLocal Does Not Provide

ShowUpLocal is not:

• A Google-affiliated or Google-authorised service;
• A guaranteed ranking improvement service — we provide insights and recommendations, but Google controls search rankings;
• A financial, legal, or marketing advisory service; or
• A managed service where we access or modify your GBP account directly (unless separately agreed in writing).

4.3 No Guarantees on Outcomes

Local search rankings are determined by Google's algorithms, which are outside our control. ShowUpLocal makes no guarantee or representation that use of the Services will result in improved rankings, increased traffic, or increased revenue. Results depend on many factors, including the quality of your GBP listing, local competition, and ongoing Google algorithm changes.

5. Intellectual Property

5.1 Our Content

All reports, recommendations, platform content, and materials delivered through ShowUpLocal are the intellectual property of Oroborous Pty Ltd. You are granted a non-exclusive, non-transferable licence to use them for your internal business purposes only. You must not:

• Reproduce, copy, or distribute reports to third parties for commercial gain;
• Republish, resell, or sublicence our content;
• Use our content to create derivative works for commercial distribution; or
• Represent our reports or recommendations as your own original research.

5.2 Your Data

You retain ownership of any data or content you provide to us (e.g., your business name, GBP URL). By providing this information, you grant us a limited licence to use it solely for the purpose of delivering the Services to you.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation;
• Attempt to manipulate Google Business Profile listings belonging to others;
• Reverse-engineer, scrape, or extract data from the platform in an automated manner;
• Introduce malware, viruses, or other harmful code;
• Circumvent any access controls or security measures; or
• Use the Services in connection with any unlawful scheme.

We reserve the right to suspend or terminate access for any user who breaches this clause.

7. No Professional Advice

ShowUpLocal reports and recommendations are for informational purposes only. Nothing in our platform or reports constitutes financial advice, investment advice, legal advice, or business advice.

We are not a financial services licensee. You should seek advice from appropriately licensed professionals for decisions of material consequence, and conduct your own independent due diligence before making any significant business decision based on information provided through ShowUpLocal.

8. Limitation of Liability

To the maximum extent permitted by law, and subject to your rights under the Australian Consumer Law:

8.1 Our total liability to you in connection with any claim arising out of or in relation to the Services is limited to the total fees you paid to us in the 3 months preceding the event giving rise to the claim.

8.2 We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

8.3 We do not exclude or limit liability where it would be unlawful to do so, including under the Australian Consumer Law.

9. Third-Party Services

The Services integrate with or depend upon third-party platforms including Google (Business Profile data), Stripe (payments), and Supabase (data storage). We are not responsible for the practices, terms, availability, or content of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.

ShowUpLocal is not affiliated with, endorsed by, or sponsored by Google LLC.

10. Modifications to Services and Terms

We reserve the right to:

• Modify, suspend, or discontinue any part of the Services at any time;
• Update pricing with at least 30 days' written notice to active subscribers; and
• Update these Terms at any time by posting a revised version on our website.

For material changes to these Terms, we will provide reasonable notice via email or website notice. Continued use of the Services after an update constitutes acceptance of the revised Terms.

11. Termination

11.1 By you: You may cancel your subscription at any time (see Section 3.3).

11.2 By us: We may suspend or terminate your access to the Services at any time if you breach these Terms, fail to pay subscription fees, or for any other reason with reasonable notice. Where we terminate without cause, we will refund any prepaid fees for the unused portion of your subscription period.

11.3 Termination does not affect your statutory rights or any rights or obligations that arose prior to termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Queensland, Australia. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Queensland.

Before commencing legal proceedings, you agree to contact us at hello@showuplocal.com.au in good faith to attempt to resolve the dispute within 30 days.
